Lead Generation & Management: Tools for lead capture (e.g., landing pages, surveys, forms), automated multi-channel follow-up campaigns (voicemail, SMS, emails, social media), and fully automated booking with advanced AI.

Customer Relationship Management (CRM): A built-in CRM for tracking pipelines, managing deals, and centralizing customer interactions.

3. User Accounts & Registration

To access and utilize certain features of the Service, including the Tactical AI platform, you may be required to register for an account. By registering for an account, you agree to the following:

Eligibility: You must be at least 18 years old to register for an account and use the Service. By creating an account, you represent and warrant that you meet this age requirement. If you are registering on behalf of a business entity, you represent that you have the authority to bind that entity to these Terms.

Account Information Accuracy: You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. We reserve the right to suspend or terminate your account and refuse any and all current or future use of the Service if any information provided is inaccurate, not current, or incomplete.

Account Confidentiality: You are solely responsible for maintaining the confidentiality of your account login credentials (username and password) and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security. We cannot and will not be liable for any loss or damage arising from your failure to comply with this security obligation.

Account Security: You are responsible for ensuring that your account is secure and that you do not share your login details with unauthorized individuals.

Non-Transferability: Your account is personal to you and may not be assigned or transferred to any other person or entity.

4. Payments & Billing

Subscription Fees and Pricing: Access to the Service or certain features within the Service may require payment of subscription fees. All fees are quoted in USD unless otherwise stated. Pricing details, including specific plans, features, and associated costs, are available on our Website or within the Platform. We reserve the right to change our pricing at any time, with reasonable notice to you.

Payment Terms: You agree to pay all applicable fees and charges for the Service you select. Payments are processed through integrated third-party payment processing systems. By providing payment information, you represent and warrant that you are authorized to use the payment method and authorize us (or our third-party payment processor) to charge your payment method for the total amount of your subscription or purchase.

Spamming & Unsolicited Communications: Use the Service, particularly its SMS and email features, to send unsolicited or unauthorized advertising, promotional materials, "junk mail," "spam," "chain letters," "pyramid schemes," or any other form of solicitation. You are solely responsible for ensuring that your use of our communication features complies with all applicable anti-spam and telemarketing laws and regulations (e.g., TCPA, CAN-SPAM Act, GDPR, etc.), including obtaining all necessary consents from recipients.

Malware & Harmful Code: Upload or transmit any data or content that contains viruses, Trojan horses, worms, time-bombs, keystroke loggers, spyware, adware, or any other harmful programs or similar computer code designed to adversely affect the operation of any computer software or hardware.

Harassment & Abuse: Engage in any conduct that is unlawful, harmful, threatening, abusive, harassing, tortious, defamatory, vulgar, obscene, libelous, invasive of another's privacy, hateful, or racially, ethnically, or otherwise objectionable.

Impersonation: Impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with a person or entity.

Unauthorized Access: Attempt to gain unauthorized access to any portion or feature of the Service, or any other systems or networks connected to the Service or to any Tactical Information Management server, or to any of the services offered on or through the Service, by hacking, password "mining," or any other illegitimate means.

Reverse Engineering: Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code of the Service or any part thereof, except and only to the extent that such activity is expressly permitted by applicable law notwithstanding this limitation.

Interference: Interfere with or disrupt the integrity or performance of the Service or the data contained therein.

Data Misuse: Collect or store personal data about other users without their express consent.

Exceeding Usage Limits: Use the Service in a manner that exceeds reasonable usage limits or otherwise impairs the functionality of the Service for other users.

6. Intellectual Property Rights

Our Intellectual Property: The Service, including the Tactical AI platform, its original content, features, and functionality (including but not limited to software, text, graphics, images, video, audio, and the design, selection, and arrangement thereof), are and will remain the exclusive property of Tactical Information Management and its licensors. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Tactical Information Management.

Limited License to You: Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service solely for your internal business purposes as permitted by these Terms.

User-Generated Content: Any data, information, text, graphics, photos, or other materials that you upload, submit, or otherwise transmit to or through the Service, including but not limited to customer data, lead information, and communication content ("User Content"), remains your property. By submitting User Content, you grant Tactical Information Management a worldwide, non-exclusive, royalty-free, transferable, and sublicensable license to use, reproduce, distribute, prepare derivative works of, display, and perform the User Content in connection with the operation of the Service, including for the purpose of providing, improving, and promoting the Service. You represent and warrant that you have all necessary rights to grant us this license for any User Content you submit.

7. SMS & Email Communication Terms

By providing your phone number and/or email address through the Service, you explicitly consent to receive messages, including but not limited to, those related to your account, service updates, transactional notifications, and marketing communications from Tactical Information Management and/or from your clients utilizing the Tactical AI platform, as applicable.

Opt-Out Instructions:

For SMS: You can opt out of receiving SMS messages at any time by replying "STOP" to any message you receive. You may receive one final confirmation message indicating that you have been unsubscribed.

For Email: You can opt out of receiving marketing emails by clicking the "Unsubscribe" link found at the bottom of any marketing email. You may continue to receive transactional or account-related emails even after unsubscribing from marketing communications.

Message Frequency: The frequency of messages will vary depending on your use of the Service and the campaigns you or your clients activate.

Message and Data Rates: Standard message and data rates may apply to SMS messages sent and received. Please consult your mobile carrier for details.

Responsibility for Content and Compliance: If you are a client of Tactical Information Management using our platform to send SMS or email communications to your own customers or leads, you are solely responsible for the content of those messages and for ensuring that your communication practices comply with all applicable laws and regulations, including but not limited to the Telephone Consumer Protection Act (TCPA), the CAN-SPAM Act, and the General Data Protection Regulation (GDPR), as well as any industry-specific guidelines. You agree to obtain all necessary consents from your recipients before sending them messages through the Service.

Service Availability: While we strive to ensure reliable delivery of messages, message delivery is subject to the effective transmission from your mobile network operator, internet service provider, and other third-party factors. We do not guarantee the successful delivery of all messages and are not liable for any delays or failures in message delivery.

8. Third-Party Services & Links

Third-Party Services: The Service may integrate with or contain links to third-party websites, applications, or services (e.g., payment processors, CRM integrations, analytics providers). These third-party services are not owned or controlled by Tactical Information Management. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You acknowledge and agree that Tactical Information Management shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any such third-party websites or services. Your use of such third-party services is subject to their respective terms and conditions and privacy policies.

TACTICAL INFORMATION MANAGEMENT EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

TACTICAL INFORMATION MANAGEMENT MAKES NO WARRANTY THAT:

THE SERVICE WILL MEET YOUR SPECIFIC REQUIREMENTS;

THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE;

THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SERVICE WILL BE ACCURATE OR RELIABLE;

THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION, OR OTHER MATERIAL PURCHASED OR OBTAINED BY YOU THROUGH THE SERVICE WILL MEET YOUR EXPECTATIONS; AND

ANY ERRORS IN THE SOFTWARE WILL BE CORRECTED.

ANY MATERIAL DOWNLOADED OR OTHERWISE OBTAINED THROUGH THE USE OF THE SERVICE IS DONE AT YOUR OWN DISCRETION AND RISK, AND YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM OR LOSS OF DATA THAT RESULTS FROM THE DOWNLOAD OF ANY SUCH MATERIAL.

UNDER NO CIRCUMSTANCES WILL TACTICAL INFORMATION MANAGEMENT BE RESPONSIBLE FOR ANY DAMAGE, LOSS, OR INJURY RESULTING FROM HACKING, TAMPERING, OR OTHER UNAUTHORIZED ACCESS OR USE OF THE SERVICE OR YOUR ACCOUNT OR THE INFORMATION CONTAINED THEREIN.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TACTICAL INFORMATION MANAGEMENT'S TOTAL LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE, WHETHER IN CONTRACT, TORT, OR OTHERWISE, SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO TACTICAL INFORMATION MANAGEMENT FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY.

THIS LIMITATION OF LIABILITY SECTION APPLIES WHETHER THE ALLEGED LIABILITY IS BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER BASIS, EVEN IF TACTICAL INFORMATION MANAGEMENT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGE. THE FOREGOING LIMITATION OF LIABILITY SHALL APPLY TO THE FULLEST EXTENT PERMITTED BY LAW IN THE APPLICABLE JURISDICTION.

11. Indemnification

You agree to indemnify, defend, and hold harmless Tactical Information Management, its affiliates, officers, directors, employees, agents, suppliers, and licensors from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) that such parties may incur as a result of or arising from your (or anyone using your account's) violation of these Terms or your use of the Service. This includes, but is not limited to, any claims arising from content you submit, post, transmit, or make available through the Service, your violation of any third-party rights (including intellectual property rights or privacy rights), or your violation of any applicable laws or regulations (including those related to spamming or telemarketing).

12. Termination

Termination by Tactical Information Management: We may suspend or terminate your access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. This includes, but is not limited to, violations of the User Conduct & Prohibited Uses section, non-payment of fees, or any activity that harms the integrity or security of the Service or its users.

Termination by You: You may terminate your account and discontinue your use of the Service at any time by contacting our support team or through the account settings within the Platform, if such an option is provided. Your termination will be effective upon processing your request, and you will remain responsible for any fees incurred prior to termination.

Effect of Termination: Upon termination, your right to use the Service will immediately cease. All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

13. Governing Law & Jurisdiction

These Terms shall be governed and construed in accordance with the laws of the State of Indiana, USA], without regard to its conflict of law provisions.

Any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, including the determination of the scope or applicability of this agreement to arbitrate, shall be determined by confidential binding arbitration in Indianapolis, Indiana, USA, before one arbitrator. Judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction thereof.
